Dian Brown is a Banking Expert Witness with over 40 years of combined experience as a "National Bank Examiner" and banking consultant. This relevant and specialized experience enables her to have an excellent grasp of industry standards and practices. She is highly skilled in analyzing financial practices using examination of transaction records, internal policies, disclosures, contracts, etc. and determining if appropriate procedures were followed or lapses, mismanagement or regulatory violations. She is also very effective in explaining industry standards, regulatory frameworks, and the operational realities of financial institutions in individual and group settings. When performing Expert Witness work, she understands the importance of maintaining confidentiality and delivering independent opinions supported by evidence. Dian also has four years of bank and FinTech consulting experience with Reference Point, LLC, a subsidiary of RGP, in New York, NY. There she served as the subject matter expert for consulting teams on credit policy and administration, strategic and capital planning, liquidity risk management, consumer compliance, Bank Secrecy Act/Anti-Money Laundering (BSA), third party risk management, etc. She individually evaluated corporate governance, strategic and capital plans, internal audits and internal controls, and performed formal independent Board and management assessments. Dian spent almost 37 years with the U.S. Office of the Comptroller of the Currency where she served in senior leadership roles, including Assistant Deputy Comptroller for the Southern District overseeing a portfolio of community banks, and Supervisory Examiner-in-Charge (EIC) of four large and regional national banks. She was downstream EIC for several global bank Shared National Credit Examinations and evaluated the quality and credit administration of some of the largest and most complex commercial loan credits in the country. Dian's regulatory expertise covers federal banking regulation, safety and soundness, corporate governance, risk management, enforcement actions, bank information technology, fiduciary oversight, resolution of troubled banks, licensing, etc. She directed the rehabilitation of numerous problem institutions operating with formal or informal enforcement actions due to weaknesses in Board governance and management, significant levels of problem loans, inadequate risk management practices and weak financial performance by working closely with bank Boards of Directors and their attorneys, as well as coordinating with other bank regulators. Dian has attended specialized Expert Witness training courses at SEAK, including effective Deposition and Trial skills and practices. This complements a career of training at the OCC that included numerous internal and external training courses covering leadership, management, safety-soundness, BSA, fiduciary activities, bank information technology, consumer compliance and other laws and regulations. External training included a month at the Federal Executive Institute on “Leadership for a Democratic Society.” Additionally, she advanced her financial and estate planning expertise by completing the College of Financial Planning’s CFP Education Program. Throughout Dian’s bank regulatory career, she trained her staff and others on-the-job and explained complex banking concepts to large, regional and community bank Boards of Directors and officers. At the OCC, she also served as an instructor for various leadership, management, win-win negotiations, communications, credit and EEO courses, and received several cash awards for her training proficiency. Dian also has substantial experience serving as Trustee, Board member and Treasurer of non-profit institutions where she actively shares her knowledge and gives back to the community.
